Spanish companies for non-residents

A foreign individual or company can acquire a Spanish company, but the buyer and new director must be correctly identified and prepared before signing.

Core buyer requirements

Spanish NIE

Foreign individuals involved as buyer or director need the appropriate Spanish identification number for our transaction process.

Valid passport

The passport must be valid and the identification details must match the notarial file.

Language

The buyer must understand Spanish or English, or arrange an interpreter accepted by the notary.

Source of funds

The seller, notary or bank may request evidence about the origin of the purchase funds and the future business.

Bank account after signing

We can assist with opening a business bank account after the transfer and appointment of the new director.

The bank has the final decision. Nationality, residence, beneficial ownership, planned activity, source of funds and internal compliance rules may affect acceptance and activation. We do not guarantee an operational account in advance.

Tax activity and Modelo 036

The company remains inactive until the appropriate tax registration is filed and the new activity begins. We can prepare a Modelo 036 to register or modify the activity, address and relevant census information.

VIES or ROI registration is a separate procedure subject to tax authority approval.
