SPANISH SHELF COMPANIES

Reservation terms

The specific seller, company, price, services and payment instructions are identified in the quotation, reservation confirmation, pro forma invoice or invoice.

A form does not reserve a company. Submitting a form or requesting information does not reserve a company. The reservation becomes effective only after the agreed payment has been received and we have confirmed it in writing.

Reservation payment

The standard reservation is 30% of the total quoted amount, including applicable indirect taxes. It blocks the selected company after effective receipt and confirmation of the payment.

The exact legal character and effects are stated in the reservation confirmation and contractual documentation.

Deadlines and buyer cooperation

Unless otherwise agreed in writing, the buyer has 30 calendar days from confirmation of the reservation payment to pay the remaining 70% and provide the required information and documentation.

After full payment, the company is normally held for a further 30 calendar days to complete signing and agreed formalities. The buyer must cooperate, maintain contact details and provide accurate documents.

Failure to complete

Consequences depend on the applicable contractual and consumer regime. The initial reservation may be lost when the buyer withdraws or fails to comply for reasons attributable to the buyer. Additional amounts and documented costs are treated according to the signed terms and mandatory law.

If the seller withdraws without a reason attributable to the buyer, the consequences stated in the accepted reservation terms apply.

Additional services and law

Only services expressly included in the quotation are covered. Notarial, registry, tax, banking, powers, company changes and third-party costs may be quoted separately.

Spanish law applies, without prejudice to mandatory consumer protection and jurisdiction rules.
