Spanish S.L. Essentials

Changing Directors After Buying a Spanish S.L.

Buying shares in a Spanish S.L. does not, by itself, replace its director. Ownership and management are separate corporate matters. A buyer who wants to operate the company should agree how outgoing management will be replaced and which formalities will be prepared before signing.

Does the share purchase automatically change the director?

No. A shareholder’s legal ownership of participaciones sociales is not the same as an appointment to manage the company. The competent corporate body must validly appoint and, where appropriate, dismiss directors under the Spanish Companies Act and the company’s articles. Verify whether the company has a sole director, joint directors, several directors acting jointly or a board.

What needs to be agreed with the seller?

The parties should decide which directors will cease, who will be appointed and whether the chosen management structure is allowed under the articles. The new director’s acceptance, identification and the documentary proof of the valid resolution should be prepared in coordination with the notary. Changes in administrator may affect signing logistics and the authority to represent the company in later steps.

Is the new appointment registered with the Commercial Registry?

Changes of director ordinarily require formal documentation and registration. The relevant deed or evidence and filing depend on the precise corporate configuration. A signed document and completed registry entry are not identical: if registration has not occurred, banks, certificate providers and other organisations may require further evidence and may decline to recognise the new representative until satisfied.

What about Modelo 036 and beneficial ownership?

Changing representation may also require the company to update its tax census with the AEAT. A change in the identity of the shareholder may separately affect beneficial ownership declarations. See our guides to Modelo 036 after a purchase and ultimate beneficial ownership.

How should a buyer organise the handover?

Request the available incorporation and registry documents, agree the corporate changes in writing and check who will arrange the notarial file and subsequent registration. Our purchase process separates the share sale from the formalities required for the buyer’s project. The current inventory is a starting point, not proof that a particular appointment or authorisation has already been completed.

Frequently asked questions

Can I buy the shares without becoming director?

Yes. Share ownership and management are distinct roles.

Is the outgoing director dismissed automatically?

No. A valid corporate change is required.

Does a director need an NIE?

Foreign individual directors should review the Spanish identification requirements of the notarial and registration process.

Can changes be coordinated at one notarial visit?

They may be prepared together where valid resolutions and documents exist, but they remain separate legal acts.

Will the new director automatically get a company certificate?

No. Certificate providers have their own identity and representation checks.
