Changing the Registered Office of a Spanish S.L.
The registered address shown for a Spanish shelf company is not necessarily the address the new owner wants to use. A change of registered office (domicilio social) can often be arranged after an acquisition, but the new address must be legitimate and the formalities must fit the company’s circumstances.
What is the domicilio social of a Spanish company?
The registered office is the corporate address established under Spanish company law and recorded in the company’s documentation and registry. It should meet the applicable connection with the company under the legal rules. It must not be treated as interchangeable with a purely promotional mailing address or assumed to prove a genuine operating establishment.
Can the registered office move to a different province?
A change of registered office can involve a move within the same municipality or to another province. The corporate authority, documentary requirements, registry handling and costs can differ depending on the company and the change. Review the current articles and the applicable statutory and regulatory rules before planning the move.
Is a registered-office change the same as a tax-address change?
Not always. The registered office and tax domicile may coincide, but the AEAT rules for determining and updating tax domicile are distinct from the corporate registry record. When changing either address, the company must assess its census obligations. See Modelo 036 after acquiring a Spanish company.
Can I use a virtual address?
An address provider’s marketing terms do not determine whether an address satisfies corporate, tax or regulatory obligations. It is important to assess where effective management takes place, what activity will occur and which evidence the Tax Agency or other authorities may request. Never assume a virtual office is sufficient for a regulated business or for tax purposes.
Preparing an address change with the purchase
First determine the buyer’s actual operating plan, then identify the new address, relevant ownership or use rights and the required company documentation. The available Spanish companies show their existing registry province; that is a company characteristic, not a guarantee that a future location meets all requirements. For a wider checklist, see share transfer and notarial steps.
Frequently asked questions
Can a Madrid company move its registered office to Barcelona?
Corporate relocation may be possible, subject to statutory powers, articles and registration formalities.
Does a registry province prove where the business operates?
No. It identifies the relevant registered particulars, not all operating premises.
Is the registered office always the tax domicile?
Not necessarily. The legal tests and notifications are different.
Can a postal address solve all tax requirements?
No. Tax domicile and business substance have to be assessed on the facts.
Does an address change give a company a new NIF?
An ordinary change of address generally does not create a new legal entity.
Should I change the address before opening a bank account?
Plan sequencing against the bank’s document requirements; there is no universal answer.
