Spanish VAT and VIES After Buying an Existing Company
One of the biggest misunderstandings in cross-border company purchases is that an incorporated Spanish S.L. must already be ready for every kind of VAT transaction. A definitive NIF, VAT obligations, ROI registration and VIES validation are related but different matters.
Does a Spanish company’s NIF automatically allow EU VAT transactions?
A Spanish company may have its definitive NIF without having the particular status or registrations required for its planned business. Whether a transaction is subject to VAT, exempt, outside the tax or reportable depends on the actual activity and facts. For intra-Community operator identification, the relevant census registration and acceptance process require separate attention.
What is ROI and how does it relate to VIES?
The Registro de Operadores Intracomunitarios (ROI) is a Spanish tax census status relevant to qualifying intra-EU transactions. VIES is the EU electronic system used to check VAT identification numbers. The fact that a company exists in the Commercial Registry is not proof it currently appears as valid in VIES. Never buy a company solely on a seller’s unsupported assertion of guaranteed ROI status.
What steps follow an acquisition?
Determine the real intended business, the customers and suppliers involved and the projected cross-border transactions. The company’s AEAT census record may need updating with Modelo 036 and, where applicable, requesting relevant ROI registration. The process depends on supporting information and may be reviewed by the tax authority. Read the Modelo 036 guide first.
What about invoices and VAT returns?
VAT obligations are shaped by actual taxable activity and the applicable tax regime. Different transactions can require different invoices, periodic returns and supporting records. A dormant company does not necessarily have the same declarations as an actively trading cross-border business. Obtain tax advice for the planned activity before issuing invoices.
What should the buyer ask before reserving?
Request the selected company’s confirmed NIF and current census position, then explain the intended EU or domestic trade. Do not conflate «definitive NIF» with «VIES active». We can discuss the purchase and post-acquisition steps, while the competent tax authority determines any requested status. See the available company catalogue.
Frequently asked questions
Does a definitive Spanish NIF mean VIES active?
No. Intra-EU operator registration and validation are distinct.
Does buying shares automatically create ROI status?
No. A change of shareholder is not an automatic ROI registration.
Can the seller promise VIES approval?
No. Eligibility and approval depend on the competent tax authority.
Is Modelo 036 relevant?
It may be used for required census registration and modifications.
Can any Spanish S.L. issue VAT-free invoices?
No. Tax treatment must be determined for each transaction and situation.
Does the bank decide VAT status?
No. Banking and tax registration are separate processes.
