Can a UK Resident Buy a Spanish Limited Company?

A UK resident can consider acquiring shares in a Spanish limited company without first becoming a Spanish resident. But ownership of shares, immigration rights and permission to conduct a regulated activity are different matters. The practical difficulty is usually preparing the correct identification and ownership documents for the actual purchaser.

Can a UK resident own shares in a Spanish S.L.?

Foreign ownership of a Spanish limited company is not, in itself, the same as obtaining Spanish residence. An individual can invest as a shareholder, while the company remains subject to Spanish corporate, tax and record-keeping obligations. The buyer must also consider any applicable foreign investment reporting or screening rules for the specific investment and sector; there is no universal exemption based merely on the buyer living in the United Kingdom.

What identification is needed before signing?

The buyer should confirm whether an NIE is required for the intended formalities and prepare a valid passport, identification of any representatives and evidence requested by the notary. A UK corporate buyer has a different file, generally including corporate existence, authorised representation and ultimate beneficial ownership. Some foreign documents require an apostille or other legalisation and suitable translation. Refer to our NIE and NIF guide before fixing a signing date.

Can the acquisition be signed without travelling?

Where the circumstances permit it, a properly documented power of attorney can allow a representative to carry out formalities. The notary must confirm the validity and scope of the particular document. A power signed abroad needs special care: differences in wording, representation and legalisation may require correction. See our guidance on signing remotely.

What happens once the shares have been purchased?

The company may need new directors, a new registered office, changes to the activity declared to the Tax Agency or updated beneficial ownership records. The share transfer does not itself guarantee a bank account, VIES registration or permission to trade. It also does not turn an existing Spanish company into a UK company: the Spanish company continues to have its own duties.

What should a UK buyer check before choosing an S.L.?

Ask what is actually included: company documents, notarial preparation, changes requested, registration steps and professional fees. The age and share capital of a company are characteristics to assess rather than benefits to assume. Our available Spanish companies can be compared by relevant characteristics, subject to confirmation of each individual file.

Frequently asked questions

Do I need to live in Spain to hold shares?

Share ownership is different from residence. The relevant identification and investment rules still need to be assessed.

Does a Spanish company grant a residence permit?

No. Immigration permissions involve separate conditions and procedures.

Can I act as director while living in the UK?

This depends on the appointment, tax and practical requirements; non-resident directors need specific advice.

Do I need a new NIF after buying the shares?

The existing Spanish company normally retains its NIF; buyer identification and census updates are separate.

Will UK documents need an apostille?

Depending on the document and its use, legalisation or apostille and translation may be required.

Can the seller promise a Spanish business bank account?

No. Banks apply independent account-opening and verification checks.

This guide provides general information. Individual legal, tax and notarial requirements must be checked against the buyer's circumstances and the selected company's documents.
