Can a US Company Own a Spanish S.L.?

A US corporation or LLC may be able to acquire shares in a Spanish S.L., but a corporate purchaser is not documented in the same way as an individual. The file has to establish the purchasing entity’s existence, the authority of its representative and the people who ultimately own or control it.

Can a US legal entity acquire shares in a Spanish limited company?

A Spanish S.L. can have a foreign legal entity among its shareholders, subject to applicable investment, sector-specific and identification requirements. The purchase of an existing company is not the creation of a Spanish branch. The US parent and the Spanish S.L. remain distinct legal entities, with different accounting, reporting and tax implications.

How is the US company’s authority established?

A notary may ask for evidence of corporate formation and current status, governing documents, resolutions or other proof that the signatory can act for the US company. A general company formation certificate is not always sufficient to demonstrate authority to enter into a particular acquisition. The documentation must reflect the entity’s actual jurisdiction and governance.

Does the US buyer need a Spanish NIF?

Foreign corporate entities involved in Spanish tax-relevant matters may need a Spanish identification number. Whether and how the number must be obtained depends on the acquisition structure and the relevant procedures. Plan this issue early rather than assuming a US EIN replaces a Spanish NIF. The personal identification of the representative is a separate matter. Compare our NIE and NIF explanation.

What is the ultimate beneficial ownership check?

The notary and other obligated professionals may need to identify natural persons controlling the acquiring structure, including through several holding companies. Prepare a clear ownership chart supported by suitable records. A nominee company does not eliminate these checks. Our Spanish beneficial ownership guide explains the purpose of this work.

How should the purchase be planned?

First, determine which US entity is buying. Then review the selected Spanish company, agree the share transfer, prepare evidence of representation and coordinate the notarial execution. After the sale, assess director appointments, registry and census changes separately. Available companies can be reviewed in our Spanish S.L. catalogue, where the particulars of each entity must be confirmed before payment.

Frequently asked questions

Can a Delaware LLC hold Spanish company shares?

A foreign legal entity can potentially hold Spanish shares, but its legal status, representation and specific restrictions require verification.

Is an EIN enough to identify the buyer in Spain?

Do not assume so. Spanish tax identification requirements may apply to the overseas entity.

Must the US shareholder travel to Spain?

An appropriate representative or power of attorney may be possible if the notarial documentation is accepted.

Will the Spanish company pay US taxes?

The tax obligations of the Spanish company and US shareholder must be analysed separately; ownership alone does not establish a single answer.

Is beneficial ownership disclosure required?

Applicable customer due-diligence and reporting obligations require identifying relevant ultimate natural persons.

Does acquisition provide US investors with a visa?

No. Immigration authorisation is independent of share ownership.

These explanations are general. Confirm the current law and the specific documentary requirements before committing to the selected transaction.

This guide provides general information. Individual legal, tax and notarial requirements must be checked against the buyer's circumstances and the selected company's documents.
