Power of Attorney to Buy a Spanish Company Remotely

International buyers do not always need to appear personally in Spain to acquire shares in a company. A representative may be able to sign using a valid power of attorney. The crucial point is that the power must be suitable for the specific operation and accepted within the Spanish notarial process.

How does representation work in an S.L. share sale?

A principal authorises another person to act within the powers given. The document should identify the represented buyer and the acts that the representative may perform. Purchasing shares, making declarations, signing related corporate documents and requesting changes can involve different powers. Generic wording may not be enough for a complex transaction.

Can a power be signed outside Spain?

A power of attorney can sometimes be executed abroad, but the notary handling the acquisition needs to confirm that its form and substance are acceptable. Depending on the issuing country and document type, legalisation or apostille, proof of capacity and a translation may be required. The correct route should be agreed before the foreign document is executed.

What if the buyer is an overseas company?

An authorised officer of the foreign company must be able to prove that they can grant the power. A certificate of incorporation and a power do not always establish the entire chain of authority. In a corporate acquisition, the file can also require a resolution approving the transaction and documents identifying ultimate beneficial owners. See our foreign corporate shareholder guide.

Which practical checks should be completed first?

Confirm the exact purchaser, selected S.L., shareholding to be transferred, method of payment, identification numbers and the documents available from the seller. Discuss any management change or filing to be signed on the same occasion. A power that is correct for the share purchase may not automatically permit unrelated acts after the sale.

Frequently asked questions

Must I travel to Spain to buy shares?

Not always. Representation may be possible when the individual file and notarial requirements allow it.

Is any signed authorisation sufficient?

No. The document must meet the required form and cover the transaction.

Does a foreign power always require an apostille?

It depends on the country, instrument and applicable conventions; confirm the procedure in advance.

Can the representative also change directors?

Only if the relevant company decisions and authority permit it. This is a separate corporate act.

Does a power of attorney replace the buyer’s identification?

No. Identity and any applicable NIF/NIE requirements still need attention.

Can a provider guarantee acceptance of an overseas document?

No. The notary must assess the actual document and circumstances.

These explanations are general. Confirm the current law and the specific documentary requirements before committing to the selected transaction.
