Opening a Spanish Business Bank Account After an S.L. Purchase
A Spanish shelf company may already have a tax number and registered capital, but neither of these facts guarantees that a bank will open or reactivate a business account. Account opening is a separate compliance process and can be one of the most important planning issues for a non-resident buyer.
Does buying a Spanish company include a bank account?
Do not assume that it does. The offer for a specific S.L. must state exactly what is provided and what remains subject to the bank’s approval. An existing account may be restricted, inactive or subject to new customer due-diligence checks after a change of ownership or director. A buyer should seek clear written confirmation rather than rely on a generic sales slogan.
What information might a bank ask the foreign buyer to provide?
Banks commonly verify the legal entity, its management, ultimate beneficial owners, intended activity, expected transactions and the origin of relevant funds. A foreign corporate shareholder may need additional evidence showing its ownership chain and representation. The precise document request depends on the bank and the risk characteristics of the proposed account.
Does higher registered capital improve approval?
Registered capital is not a current bank balance, and neither figure guarantees that a bank will accept the company as a customer. The bank may look at economic substance, intended business, transaction patterns, ownership structure and the answers given during onboarding. Read our guide to what Spanish share capital actually means.
Can a non-resident director or shareholder apply?
The presence of a non-resident owner does not mean every bank will offer an identical service. Some banks apply different product and document requirements, and procedures can change. The actual bank should be consulted before the buyer commits to business plans that depend on an account being operational on a particular day.
How to reduce avoidable delays
Prepare the company’s up-to-date registry information, appointment documents, the buyer’s identification, a clear ownership chart, a realistic explanation of the intended business and supporting evidence requested by the bank. See our UBO guide for complex ownership structures, then review the steps in purchasing an S.L.. We can help explain the company file, but account opening is the bank’s decision.
Frequently asked questions
Does a definitive NIF guarantee an account?
No. It is a tax identification number, not a bank approval.
Does €60,000 registered capital guarantee an account?
No. Capital and liquidity are different, and bank onboarding is independent.
Can a foreign company be the shareholder?
Potentially yes, but banks may require extensive legal-entity and beneficial-owner documents.
Will a dormant bank account remain usable after the sale?
Do not assume so. Its status and account-holder verification must be checked with the bank.
Can a provider promise approval in 24 hours?
No responsible provider can guarantee a third party’s account-opening decision.
Is a bank account the same as being registered for VAT?
No. Banking and tax census obligations are distinct processes.
